GENERAL CONDITIONS OF PURCHASE AT PUBLIC AUCTION

It is important to read the following conditions. Useful information is given on how to buy at auction. We will be happy to provide you with further information and assistance.

SARL Icon Auction is an operator of voluntary sales (OVV) of furniture by public auction governed by Articles L. 321-4 et seq. of the French Commercial Code. In this capacity, Icon Auction acts as an agent for the seller, who contracts with the buyer through Icon Auction.

The relationship between the OVV and the purchaser is governed by the present general conditions of purchase. Any modifications to the general conditions or to the catalog descriptions will be announced verbally or in writing during the sale and noted on the sale report.

I/ BEFORE THE SALE

The information given in the catalog is only an expression of the OVV's perception of the lot, and does not constitute proof of any fact.

Photographs of lots offered for sale in the catalog and on the Icon Auction website, as well as on the platforms of Icon Auction's intermediary operators, have no contractual value beyond the description in the catalog. The colors of the works reproduced in the catalog may differ from the actual colors.

The absence of any indication of restoration or accident in no way implies that an object is free of defects. The mention of a defect does not imply the absence of all other defects. Only the existence of any significant repairs, missing items or additions to an item may be indicated.

A prior viewing will enable potential buyers to observe the condition of the items offered for sale, but no claims will be accepted once the hammer has been lowered for imperfections, defects, wear and tear or minor accidents. We will be happy to provide you with a detailed condition report.

Jewelry and watches

The mention gold, platinum and silver without further indication describes lots in gold 750 thousandths, platinum 950 thousandths, and silver 925 thousandths.

Identification techniques and analytical conclusions concerning the origin and classification of stones and pearls may vary from one laboratory to another. Consequently, it is possible to obtain, in certain cases, a different result depending on the laboratories consulted. No claim will be accepted if another laboratory issues a different opinion, and the sales company cannot be held responsible.

With regard to watches, restorations, modifications, technical characteristics, serial numbers, dimensions and weights are given to the best of our ability. These details are given for information purposes only, to facilitate inspection by the potential buyer, and are subject to his personal appreciation. Restored or repainted dials are considered to be conservatory measures that do not entail depreciation, and may not be reported. No warranty is given on the condition of watches and bracelets.

The absence of any indication in no way implies that a watch is free from defect. The auctioneer and expert cannot be held responsible for any omissions that may remain despite the precautions taken.

The buyer is advised to consult a watchmaker in order to overhaul the watch before using it. Revisions, adjustments and water-resistance are the responsibility of the purchaser.

Works of art and collectors' items

Icon Auction reminds us that the use of the term “attributed to” followed by an artist's name guarantees that the work or object was executed during the production period of the artist mentioned, and that serious presumptions point to him or her as the likely author. “Entourage de” means that the painting is the work of an artist contemporary with the artist mentioned, who has been greatly influenced by the master's work. The use of the words “atelier de” followed by an artist's name guarantees that the work was executed in the workshop of the master mentioned, but by students under his direction. The expressions “in the taste of”, “style of”, “manner of”, “genre of”, ‘after’, “manner of” do not confer any particular guarantee of the identity of the artist, the date of the work or the school.

Paintings

The condition of the frames is not guaranteed. Restoration, re-canvassing and parquetry are considered to be conservatory measures that do not entail depreciation, and may not be reported.

II/ THE AUCTION

Sales fees

The buyer will pay the following fees and taxes per lot, in addition to the hammer price:

25% excl. tax (30% incl. VAT) for lots sold voluntarily

1.8% incl. VAT for auctions carried out via Drouot Live.

VAT

Lots coming from outside the European Union, and whose presentation is preceded by the symbol *, are subject to additional charges that may be passed on to the buyer. These charges are 5.50% excl. VAT (6.60% incl. VAT) and 20% excl. VAT (24% incl. VAT) for jewelry and watches, automobiles, wines and spirits, and multiples.

In the case of export, VAT may be refunded on sales charges:

- to persons residing outside the European Union, provided they apply within three months of the sale, and on presentation of copy 3 of the customs export document (DAU) on which SARL Icon Auction must appear as the sender and the buyer as the consignee.

- persons residing within the EU who can provide proof of an intra-Community VAT number and a document proving delivery of the lot in their member state.

In all cases, the full amount of the bidding slip is payable, and VAT is refundable at a later date, once customs formalities have been completed.

In the event of sale by a vendor liable to VAT, no document showing VAT will be issued.

Means of payment

Payment must be made in cash, immediately after the sale:

- in cash (up to €1,000 for French nationals, or up to €15,000 for foreign nationals not resident in France for tax purposes, on presentation of proof of address and passport) ;

- by credit card (for credit card payments outside the EEC, an additional charge of 1.20% inc. VAT will be levied to cover collection costs; for payments via Union Pay or Amex, an additional charge of 2.20% inc. VAT will be levied to cover collection costs);

In the event of payment by bank transfer, delivery of the items may be deferred until collection. In this case, deposit fees are payable by the buyer.

Payment must be made in the name of the buyer only. Icon Auction reminds you that no payment can be made on behalf of a third party, and that the identity of the successful bidder cannot be changed after the auction.

Bids may be placed by various means

- In person in the auction room. Prior registration is not compulsory, but is recommended in order to facilitate bidding. You will be asked for your full contact details, and SARL Icon Auction reserves the right to ask for proof of identity and a guarantee of payment. If you are bidding on behalf of a third party, we will ask you to provide full contact details and a valid power of attorney.

The seller is not authorized �� to place bids himself directly or through a proxy;

- Online via the Drouot Live platform. As Drouot Live is an independent service, we decline all responsibility in the event of malfunction. The additional cost of purchasing online is detailed in these general terms and conditions of purchase.

Users wishing to participate in an online auction via Drouot Live and Invaluable must read and accept, without reservation, the terms and conditions of use of these platforms, which are independent and in addition to these general terms and conditions of purchase.

- By telephone, by sending us a written request (at the exhibition, by post or by email). We recommend that you indicate a purchase order that we can execute on your behalf in the event that we are unable to reach you.

SARL Icon Auction will conduct the sale at its own discretion, ensuring free bidding and equality between all bidders, while respecting established practices. SARL Icon Auction reserves the right to refuse any bid, to withdraw any lot from the sale, to combine or separate lots.

In the event of a dispute, SARL Icon Auction may designate the winning bidder, continue the sale, cancel it, or put the lot back up for sale.

In the event of a double bid recognized by the auctioneer, i.e. if it is established that two or more bidders have simultaneously made an equivalent bid, the item will be immediately reoffered for sale, with all members of the public able to participate in the new auction.

Bids will be conducted in euros; a currency converter may be visible during the auction for information purposes only.

Subject to the decision of the person conducting the sale, and in compliance with any reserve price, the winning bidder will be the highest and last bidder. The blow of the hammer will mark the end of the bidding and the pronouncement of the word “adjugé” or equivalent will result in the formation of the sales contract.

If the successful bidder has not registered with the OVV prior to the sale, he will be required to provide his contact details and a means of payment as soon as the sale has been announced.

The reserve price is the minimum confidential price below which the lot will not be sold. The reserve price may not exceed the low estimate appearing in the catalog or modified publicly before the sale, and the authorized auctioneer is free to start bidding below this price and to place bids on behalf of the seller. However, the seller may not bid on his own behalf or through an agent.

III/ AFTER THE SALE

Once the sale has been announced, the buyer assumes full responsibility for all purchases.

No lot will be handed over to the buyer until full payment has been received.

Buyers are advised to collect their lots as soon as possible to avoid the risks and costs associated with handling and storage, which are their responsibility. Warehousing does not engage the responsibility of the OVV in any way whatsoever.

- For sales taking place at the Hôtel des Ventes de Drouot Richelieu, lots may be collected directly from the auction room during the sale until 10am the following day. Lots will then be taken to the Drouot warehouse. All consignments are subject to presentation of the original label and the paid invoice or a document authorizing collection and issued by our company. Monday to Friday from 1:30 to 6:00 pm, and some Saturday mornings from 8:00 to 10:00 am, magasinage@drouot.com,Les storage fees are payable by the buyer.

- For sales taking place in Lille, purchases will be held free of charge for fourteen days, after which a storage fee of €5 per day and per item will be charged to the buyer. All deliveries must be made by appointment at hello@iconauction.fr,

In the event of non-payment by the buyer of all sums due within one month of the sale, and after a single formal notice has been served without result, SARL Icon Auction will initiate collection proceedings. The buyer will be liable to be registered in the Fichier des restrictions d'accès aux ventes aux enchères (TEMIS File - https://temis.auction ) set up by Commissaires-Priseurs Multimédia (CPM - 37 rue de Châteaudun 75009 Paris). As from one month after the sale and at the seller's request, the sale may be cancelled and the item reoffered for sale by irresponsible bidding, without any possible recourse and without prejudice to damages owed by the defaulting bidder.

IV/ REMINDER OF LEGAL CONDITIONS

CITES

The international regulations of March 3 1973, known as the Washington Convention, have the effect of protecting specimens and species said to be threatened with extinction. All shipments to third countries must be accompanied by a request for an export or re-export permit to the CITES Management Authority of the buyer's place of residence. This is the responsibility of the future buyer. The issue of such a document is not automatic. It is the buyer's responsibility to seek advice and verify the possibility of complying with any legal regulations that may apply to the export or import of a lot, even before bidding.

Export of cultural goods

Cultural goods of historical, artistic and archaeological interest must obtain export authorization in accordance with the cumulative criteria of value and age listed in article L 111-2 of the French Heritage Code. The French government may grant or refuse an export certificate. SARL Icon Auction assumes no responsibility for any administrative decisions to refuse certificates.

Right of pre-emption

The right granted to the State or a local authority, by the law of December 31, 1921, to acquire an item at public sale by substituting itself for the last bidder. This right is exercised as soon as the auction is announced, and must be confirmed within fifteen days. In the event of confirmation, the French State is subrogated to the successful bidder.

Intellectual property

Any reproduction or distribution of an image from the catalog requires written authorization from the OVV. SARL Icon Auction has an exemption allowing it to reproduce in its catalog works offered for sale, even if the reproduction right has not fallen into the public domain. Any reproduction of an image in the catalog may therefore constitute an illicit reproduction of a work, exposing its author to infringement proceedings by the holder of the rights to the work. The sale of a work does not grant the owner the right to reproduce and display the work.

Personal data

Icon Auction is authorized to reproduce the information provided by the successful bidder prior to the sale on the sale report and on the adjudication slip. The buyer is liable for any false information. If the successful bidder has not registered before the sale, he must provide the necessary information as soon as the lot has been awarded. Applicable law and attribution of jurisdiction

In accordance with the provisions of article L.321-17 of the French Commercial Code, the liability action of a voluntary sales operator is barred after five years from the date of the auction.
